Terms of Service

Welcome to Make It Happen Pro ("Make It Happen Pro," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Make It Happen Pro web application, mobile app, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

• "Service" means the Make It Happen Pro software, including the web app at estimate.happencrm.com, any mobile applications, the marketing website, APIs, and supporting services.
• "User" means any person who creates an account or uses the Service.
• "Contractor" means a User who uses the Service to manage their trade business — including but not limited to roofing, HVAC, painting, electrical, and general contracting.
• "Customer" means an end-customer of a Contractor — typically a homeowner or property manager who receives an estimate or invoice through the Service.
• "Account" means the workspace, settings, data, and credentials associated with your sign-in.

2. Account & Eligibility

To use the Service, you must:

• Be at least 18 years old.
• Be a resident of, or operate a business based in, the United States.
• Provide accurate and complete account information, and keep it up to date.
• Maintain the security of your sign-in credentials. You are responsible for all activity under your account.

We may refuse, suspend, or terminate accounts at our discretion, including for repeated misuse, fraud, or violation of these Terms.

3. Subscription Terms

The Service is offered on a subscription basis. New users may be eligible for a free trial. Subscription fees, billing cycles, and trial details are described on our pricing page and our Refund Policy. Cancellation takes effect at the end of the current billing period; partial-period refunds are not provided unless required by law.

4. Acceptable Use

You agree NOT to:

• Use the Service to send spam, harvest contact lists, or contact people without consent.
• Upload illegal, defamatory, or infringing content (including content that violates copyright, trademark, or trade-secret rights).
• Attempt to access another user's account or data, or probe for security vulnerabilities outside an authorized program.
• Reverse-engineer, decompile, or scrape the Service.
• Use the Service in a way that materially harms its performance for other users.

5. User Content & Data

You own your data. You retain all rights to the customer information, estimates, photos, files, and other content ("User Content") you upload or create in the Service.

You grant us a worldwide, royalty-free license to host, store, copy, display, and process your User Content solely as necessary to provide the Service to you (for example: rendering estimates as PDFs, sending emails on your behalf, generating analytics for your own account). We do not sell your User Content. We do not use it to train any AI model that benefits other users without your explicit consent.

You represent that you have the right to upload the content you upload, including consent from any individuals depicted in photos.

6. Service Availability

We aim for 99.9% uptime but make no guarantees. The Service may be temporarily unavailable due to maintenance, third-party outages (Google Cloud, Firebase, Stripe, etc.), or events outside our reasonable control. We will provide advance notice of planned downtime when feasible.

7. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Service is limited to the amount you paid for the Service in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, consequential, incidental, or punitive damages — including loss of profits, lost business, or loss of data — even if advised of the possibility.

Some jurisdictions do not allow these limitations. To the extent a limitation is unenforceable in your jurisdiction, our liability is limited to the smallest amount permitted by law.

8. Indemnification

You agree to indemnify and hold harmless Make It Happen Pro, its owners, officers, and employees from any claim, damage, or expense (including reasonable attorney fees) arising out of: (a) your misuse of the Service, (b) content you upload, (c) your violation of these Terms, or (d) your violation of any law or third-party right.

9. Termination

You may cancel your account at any time from the Settings page; cancellation takes effect at the end of your current billing period.

We may suspend or terminate your account immediately, without notice, if we determine that you have violated these Terms, engaged in fraud, or exposed us to legal risk. Upon termination, your right to use the Service ends. We will retain your data for 90 days following termination to allow for export, after which we may delete it.

10. Dispute Resolution

These Terms are governed by the laws of the State of [STATE — TO BE SET BY KING], without regard to its conflict-of-laws rules.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by [ARBITRATION_PROVIDER — e.g., AAA, JAMS] under its rules then in effect. Arbitration will be conducted in [CITY, STATE]. You and Make It Happen Pro waive any right to participate in a class action.

11. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email at the address on your account at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance.
